EQUIPMENT RENTAL AGREEMENT

TERMS AND CONDITIONS

THIS EQUIPMENT RENTAL AGREEMENT (“Agreement”) is entered into between the Lessor, DSLRpros, Inc. (hereinafter referred to as “DSLRpros” or “Lessor” or “Owner”), and the Lessee (the individual or entity making payment, hereinafter referred to as “Lessee”). This Agreement becomes effective as soon as the Lessee confirms the order through a purchase order or makes payment by any means, including but not limited to electronic transfer, credit card, bank transfer, cash, or any other payment method. By confirming the order, the Lessee agrees to all the Terms and Conditions herein, regardless of whether the Lessee has read or understood them.

DEFINITIONS

Remote Operator: The individual designated by the Lessee who is responsible for the operation, control, and overall safety of the rented equipment during the rental period.

Retail Replacement Value: The current market value of the equipment if purchased new from the manufacturer or an authorized distributor.

Rental Period: The agreed-upon duration for which the equipment is rented, starting from the date specified in the rental order and ending on the date the equipment is due to be returned to DSLRpros.

Late Fees: Penalties incurred by the Lessee for failing to return the equipment by the agreed-upon return date, calculated on a daily basis.

ORDER ACCEPTANCE

DSLRpros reserves the right to refuse service to any prospective Lessee, limit the quantity of equipment available for rent, modify the terms of the order, cancel the order at any time, or demand the immediate return of equipment for any reason, including but not limited to concerns about the Lessee's ability to operate the equipment safely or the Lessee's creditworthiness. Payment by the Lessee or order confirmation does not constitute order acceptance by DSLRpros. DSLRpros shall not be liable for any revenue lost or costs incurred by the Lessee due to DSLRpros's decision not to provide the requested equipment or for requesting the immediate return of equipment. Any adjustments provided to the Lessee are at the sole discretion of DSLRpros and will not exceed the amount of the original rental fees paid by the Lessee.

LIABILITY AND INDEMNIFICATION

DSLRpros does not assume any liability for the use or malfunction of the rented equipment. The Lessee agrees to indemnify, defend, and hold harmless DSLRpros, its officers, employees, and affiliates from any and all claims, liabilities, damages, and expenses, including but not limited to legal fees, arising out of or in connection with the Lessee’s use of the rented equipment. This indemnification includes, but is not limited to, incidents of equipment malfunction, operator error, and third-party claims related to damage, injury, or loss.

The Lessee is fully responsible, both legally and financially, for any damage to the rented equipment, persons, or property during the rental period. The Lessee is advised to carry liability insurance and non-owned equipment insurance to cover any potential losses. DSLRpros and its affiliates shall not be held responsible for any laws violated by the Lessee, including but not limited to FAA regulations, loss of revenue, fines, penalties, accidents, damage to persons or property, privacy violations, sabotage, or any other incidents that may occur due to the use of the rented equipment.

The Lessee is responsible for designating a competent and qualified Remote Operator to operate the equipment. The Remote Operator is responsible for ensuring the equipment's airworthiness, conducting pre-flight checks, and operating the equipment in compliance with all applicable laws and safety standards. This Agreement is solely between the Lessee and DSLRpros and does not extend to any individual designated by the Lessee to operate the equipment.

DSLRpros makes no warranty, express or implied, as to the satisfactory operation of the equipment. Any refunds or credits are granted solely at the discretion of DSLRpros. The liability of DSLRpros is limited to the amount of the original rental fees paid by the Lessee, and under no circumstances shall DSLRpros be liable for consequential, incidental, or punitive damages.

OWNERSHIP AND REPOSSESSION

All rented equipment remains the exclusive property of DSLRpros throughout the rental period. The Lessee agrees to use the equipment only for its intended purposes and in a lawful manner. Any use of the equipment for illegal purposes or in a manner that violates applicable laws, regulations, or ordinances is strictly prohibited.

DSLRpros reserves the right to demand the return of its equipment at any time and for any reason. If the Lessee fails to comply with such a demand, DSLRpros or its authorized agents may enter the premises of the Lessee or any other location where the equipment is located to repossess the equipment without prior notice. The Lessee waives any right to contest such repossession and agrees to cover all costs incurred by DSLRpros in recovering the equipment, including legal fees, court costs, and any associated expenses.

RENTAL FEES, DEPOSITS, AND PAYMENT TERMS

The rental fees are as listed on the DSLRpros website or provided via a custom quote. Prices are subject to change without notice. A deposit may be required at the discretion of DSLRpros, which will be held until the equipment is returned in good condition. The deposit may be applied toward any damages, missing items, late fees, or other charges due to DSLRpros. If no deposit was collected or the deposit is insufficient to cover the charges, the Lessee authorizes DSLRpros to bill any remaining balance to the credit card on file.

All payments must be made in full before the equipment is released to the Lessee. Payment terms for any additional charges, such as damages or late fees, are net 10 days from the invoice date. DSLRpros reserves the right to charge interest on overdue payments at a rate of 1.5% per month or the maximum rate allowed by law, whichever is lower.

RENTAL PERIOD, LATE FEES, AND EXTENSIONS

The Rental Period is defined in the rental order. The Lessee must return the equipment on or before the last day of the Rental Period. Failure to return the equipment by the agreed-upon return date will result in late fees, which accrue at the daily rental rate for the equipment. Late fees will continue to accrue until the equipment is returned to DSLRpros. The Lessee may request an extension of the Rental Period, subject to approval and payment before the original Rental Period ends.

If the equipment is not returned within seven days after the end of the Rental Period without prior notice or arrangement, DSLRpros may classify the Lessee as in default and initiate proceedings for theft of property. The Lessee will be liable for the full retail replacement value of the equipment in such cases, in addition to any applicable late fees and legal costs.

EARLY RETURNS

DSLRpros is not obligated to refund any unused rental days if the equipment is returned before the end of the Rental Period. No partial refunds will be provided for early returns due to project changes, inclement weather, equipment failure due to user error, or any other reason.

RECEIVING AND RETURNING EQUIPMENT

Upon delivery, the Lessee must inspect the equipment and notify DSLRpros of any damage or irregularities within 24 hours. Failure to do so will be considered an acceptance of the equipment as being in good working order. The Lessee must return the equipment in the same condition and packaging as received, using the provided return shipping label.

If the Lessee chooses to use an alternate shipping method or address without prior written approval from DSLRpros, the Lessee will be responsible for any additional shipping costs, delays, and potential loss or damage during transit. The Lessee must obtain and retain a receipt from the shipping carrier that includes a time stamp and tracking number as proof of return.

DAMAGE, LOSS, AND THEFT

The Lessee is responsible for any damage, loss, or theft of the equipment during the Rental Period, except for damage incurred during shipping by DSLRpros’s designated carrier. In the event of damage, DSLRpros will determine the method and venue for repair, and the Lessee will be responsible for all associated costs, including parts, labor, and shipping.

If the equipment is lost, stolen, or damaged beyond repair, the Lessee must immediately notify DSLRpros and provide a detailed written statement of the incident, including relevant details such as location, time, environmental conditions, and any other pertinent information. The Lessee will be charged the full retail replacement value of the equipment, payable within 10 days of invoicing.

DSLRpros reserves the right to pursue all legal remedies to recover costs associated with lost, stolen, or damaged equipment, including filing a police report, reporting to credit agencies, employing debt collection services, and initiating litigation. The Lessee will be responsible for all legal fees, court costs, and any associated expenses incurred by DSLRpros in such cases.

EQUIPMENT PROTECTION PLAN (EPP)

An Equipment Protection Plan (EPP) is available for certain rental items. If the Lessee purchases the EPP, DSLRpros will cover specific types of damage as outlined in the EPP terms. Covered items may include propellers, batteries, remote controllers, landing gear, or battery chargers. The EPP does not cover lost or missing equipment, water damage, sand or other contaminants, or damage due to negligence or improper use. Any damage must be reported immediately, and the equipment must be returned for the EPP to apply.

ADDITIONAL DOCUMENTATION AND REQUIREMENTS

DSLRpros may require the Lessee to provide additional documentation before releasing the equipment, including but not limited to a copy of a government-issued ID, proof of insurance, and credit card information. DSLRpros reserves the right to perform background checks, credit checks, and other due diligence measures at its discretion.

DEFAULT

In the event of default by the Lessee, including failure to return the equipment, non-payment of fees, or violation of any terms of this Agreement, all amounts owed to DSLRpros become immediately due and payable. In such cases, DSLRpros reserves the right to pursue all available remedies, including but not limited to:

  • Repossession: Recovering possession of the equipment, with or without notice, and without any legal process. The Lessee agrees that DSLRpros or its agents may enter any premises where the equipment is located to take possession of it.

  • Legal Action: Filing civil lawsuits to recover amounts due, including the full retail replacement value of the equipment, unpaid fees, late fees, interest, and any associated legal costs.

  • Credit Reporting: Reporting the default to credit agencies, which may negatively affect the Lessee’s credit rating.

  • Debt Collection: Engaging third-party debt collection agencies to recover amounts owed by the Lessee. The Lessee will be responsible for any collection fees, attorney fees, court costs, and other expenses incurred by DSLRpros in enforcing its rights under this Agreement.

  • Criminal Charges: Filing criminal charges if the equipment is not returned and the Lessee is found to have unlawfully retained or disposed of DSLRpros property.

ADDITIONAL ITEMS

  • Confidentiality: The Lessee agrees to keep all terms and conditions of this Agreement confidential and not to disclose them to any third party without the prior written consent of DSLRpros.

  • Use of Media: Unless the Lessee notifies DSLRpros in writing to the contrary, any photos, videos, or other media left on any storage devices returned with the equipment may be used by DSLRpros for promotional or other business purposes without compensation to the Lessee.

  • International Use: The Lessee shall notify DSLRpros in advance if the equipment is to be transported internationally or by means of any commercial flight. The Lessee is responsible for ensuring compliance with all applicable customs regulations, taxes, duties, and laws.

SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable by any court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity of the remaining provisions, which shall be construed as if the invalid or unenforceable provision had never been a part of this Agreement.

GOVERNING LAW AND VENUE

This Agreement is entered into in Los Angeles County, State of California, and shall be governed by and construed in accordance with the laws of the State of California. The parties agree that any legal action or proceeding arising out of or related to this Agreement shall be brought exclusively in the courts of Los Angeles County, California.

ENTIRE AGREEMENT

This Agreement, together with any invoices, receipts, or other documents incorporated herein by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof. This Agreement supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter hereof. Any amendments or modifications to this Agreement must be in writing and signed by both parties to be effective.
